Criteo Faces Investor Scrutiny After Sudden Fiscal Guidance Reversal

A dramatic shift in Criteo's fiscal 2026 outlook has triggered a formal investigation into the company’s disclosure practices. After promising growth earlier this year, the firm reported a sharp decline in key performance metrics, prompting legal experts to examine whether shareholders were misled regarding underlying financial pressures.

On May 8, 2026, Criteo projected flat to low-single-digit growth in Contribution ex-TAC for the fiscal year. By August 5, that forecast evaporated, replaced by an anticipated decline of 10% to 12%. The sudden reversal, which sent the company’s stock price tumbling, is now the subject of an investigation by the litigation firm Levi & Korsinsky LLP, operating under the brand SueWallSt.

The firm is probing whether Criteo failed to adequately inform the market about significant headwinds, including a $75 million reduction in Retail Media client scope, foreign exchange volatility, and regional softness in the APAC market. The discrepancy between the May guidance and the August update represents an approximate 11 to 14 percentage point deterioration in performance expectations. Investors who purchased securities during the period between these disclosures and suffered financial losses are currently being evaluated for potential claims.
