These senior unsecured obligations will pay interest semi-annually, with conversion terms—including interest rates and initial conversion prices—finalized upon pricing. Realty Income retains the right to settle conversions using cash, common stock, or a mix of both.
Management has structured the deal with specific redemption provisions, including a "cleanup" option should the outstanding principal fall below 10% of the initial issuance, and a mechanism to preserve the company's REIT tax status. To offset the impact of potential conversions on existing shareholders, the company expects to initiate capped call transactions. These arrangements are designed to reduce dilution, though their effectiveness remains tied to future fluctuations in the company’s share price relative to the cap.
Beyond the cost of these financial hedges, the company intends to deploy the remaining capital toward general corporate objectives. This includes paying down revolving credit facilities, settling commercial paper obligations, and funding ongoing portfolio expansion across its U.S. and European properties. The company, which manages over 15,500 assets, noted that the final terms of the offering remain subject to market conditions and regulatory requirements.
