The company faces persistent commercial headwinds, a significant debt burden, and limited access to capital markets. Management cautioned that a rejection of the deal could lead to a delisting from the Nasdaq and potential reorganization, which would likely result in shareholders receiving nothing for their equity. Because the merger requires approval from a majority of all outstanding shares, the company is emphasizing that inaction is functionally equivalent to opposition.
