The scrutiny follows a sharp pivot in the company's financial outlook. On April 30, 2026, Emergent management reaffirmed a revenue target of $720–$760 million for the fiscal year, even raising its adjusted EBITDA expectations. Yet, just over three months later, on August 5, the firm slashed those revenue goals to a range of $645–$675 million. Adjusted EBITDA targets were similarly downgraded, dropping from a previous $155–$175 million to $130–$150 million.
This reversal stands in stark contrast to sentiments expressed by CFO Richard S. Lindahl earlier this year. During a February earnings call, Lindahl dismissed concerns regarding NARCAN demand as merely transient market noise, insisting that the company maintained its competitive edge. The current investigation seeks to determine if these public assurances lacked a factual basis, ultimately impacting the share price and causing financial losses for investors who relied on the company's stated trajectory.
