Black Rock Coffee Faces Class Action Over Expansion Strategy Claims

Investors who purchased Black Rock Coffee Bar, Inc. stock between September 2025 and May 2026 have until August 17 to petition as lead plaintiffs in a pending securities class action. The lawsuit alleges the company misled shareholders regarding the impact of its aggressive store expansion model on existing revenue.

The legal action centers on the company’s "concentric circle" growth strategy, which promised increased store density without significant sales cannibalization. Hagens Berman, the firm leading the investigation, contends that internal data regarding revenue erosion at high-volume locations was withheld from investors during and after the September 2025 Initial Public Offering. By June 18, 2026, shares had dropped to $7.72, marking a decline of more than 61% from the IPO price.

Reed Kathrein, a partner at Hagens Berman, stated that the firm is working to determine exactly when management became aware that their expansion model was actively shifting traffic away from established locations. The complaint further alleges a failure of internal controls, noting that the company did not disclose these financial headwinds until the May 12, 2026, earnings report. Beyond the class action, the firm is encouraging whistleblowers with non-public information to come forward, citing potential SEC reward programs for original evidence.
