Agiliti Shareholders Reach $32 Million Settlement in Merger Litigation

A $32 million cash settlement has been proposed to resolve a long-standing class action lawsuit involving Agiliti, Inc. stockholders. The litigation centers on the company’s May 2024 merger with Thomas H. Lee Partners, a deal that prompted legal challenges from investors regarding the $10 per share cash consideration provided.

The Delaware Court of Chancery is set to review the agreement on September 17, 2026, when Vice Chancellor Morgan T. Zurn will evaluate whether the $32 million fund is fair and adequate for those who held Agiliti stock at the time of the transaction. The settlement follows a consolidated lawsuit initiated by lead plaintiff Eric M. Maglione, naming both Agiliti and various THL-affiliated defendants. If the court grants final approval, eligible shareholders will receive pro rata payments automatically, eliminating the need for investors to submit individual claim forms.
