Investors who purchased EquipmentShare.com stock following its January 2026 IPO are facing significant losses as a class action lawsuit emerges. The litigation follows a report alleging that company founders funneled at least $77 million into undisclosed, affiliated entities through a complex web of self-dealing transactions.

The legal action, initiated by the firm Robbins LLP, covers investors who acquired Class A common stock between January 23 and June 23, 2026. At the heart of the complaint is a June 24 report from Umibōzu Research, which identified three specific entities—EZ Equipment Zone, Bevel Financial, and Armada Fleet Management—as vehicles used to enrich the Schlacks family. The report claims these businesses were part of a broader network of 130 affiliated entities designed to facilitate payments under the company's OWN program.

Following these revelations, EquipmentShare shares saw a sharp decline, dropping from the $24.50 IPO price to as low as $16.06. The complaint alleges that the company’s Registration Statement and subsequent financial filings misled shareholders by failing to disclose these related-party transactions or the extent of the founders' control over the involved entities.
