Valmet weighs split into two independent listed companies

The Board of Directors at Valmet Oyj has launched a formal strategic review to determine if splitting its two core segments—Biomaterial Solutions and Services, and Process Performance Solutions—into separate, publicly traded companies would unlock greater value for shareholders than the current combined corporate structure.

The company, based in Espoo, Finland, currently operates these divisions as distinct segments with independent growth trajectories. The recent acquisition of Severn, which pushed the Process Performance Solutions segment to approximately 1.7 billion euros in annual net sales, served as a catalyst for the board to assess whether a separation could provide the agility and management focus needed for each unit to reach its full potential.

Biomaterial Solutions and Services maintains a strong market position anchored in pulp, paper, and energy sectors. Conversely, the Process Performance Solutions unit has evolved into a diversified industrial platform, with nearly 70 percent of its revenue now originating outside the traditional pulp and paper industries. Board Chair Pekka Vauramo stated that the review will only result in a transaction if the analysis confirms that independent operations serve the best interests of shareholders. CEO Thomas Hinnerskov emphasized that while the review is underway, the company remains committed to its current strategy and customer service standards.

Valmet intends to provide an update on the progress of this evaluation no later than the release of its 2026 full-year financial results. The board remains cautious, noting that there is no guarantee the process will lead to a formal separation or any specific structural transaction.
