The settlement, which covers those who held stock as of the 5:00 p.m. ET redemption deadline, requires court approval before funds can be distributed. Vice Chancellor Paul A. Fioravanti is scheduled to preside over a settlement hearing on September 10, 2026, at 1:30 p.m. in Wilmington. The court will evaluate the fairness of the $13 million fund, the proposed plan of allocation, and requests for attorney fees.
Because the action is a non-opt-out class proceeding, all eligible members will be bound by the final judgment. To receive a portion of the net settlement fund, participants must submit a valid claim form online or by mail no later than October 12, 2026. Any objections to the terms of the agreement or the distribution plan must be filed with the Register in Chancery by August 26, 2026. Further information and claim documentation are available at www.FGNAStockholderSettlement.com.
