Law firm Hagens Berman is probing claims that the company masked severe supply chain bottlenecks and weakening demand for its high-end integrated circuit photomasks while maintaining positive financial guidance throughout early 2026.

The litigation centers on the period between December 10, 2025, and May 27, 2026. According to the complaint, management repeatedly assured shareholders that global order patterns remained robust enough to offset post-holiday seasonality. Plaintiffs argue these assurances were deceptive, asserting that leadership ignored or actively concealed significant design release delays caused by elevated factory usage and rising equipment costs.

The facade fractured on May 28, 2026, when the company revealed a sharp sequential revenue decline and an 11% drop in integrated circuit earnings. Photronics attributed the shortfall to a failed recovery following the Chinese New Year and unexpected operational hurdles. The market’s reaction erased $1.1 billion in shareholder value, prompting Reed Kathrein, a partner at Hagens Berman, to launch a formal inquiry into when exactly executives became aware of the deteriorating demand. Investors who suffered losses have until September 4, 2026, to file for lead plaintiff status.
