The firm is evaluating whether these transactions prioritize insider benefits over the fair market value owed to ordinary shareholders.

The New York-based firm is scrutinizing specific sale agreements to determine if they violate federal securities laws or breach fiduciary duties. At the center of the inquiry is the $16.25-per-share sale of Personalis to Tempus AI and the $61.20-per-share cash deal involving LXP Industrial Trust and its buyers, Brookfield Asset Management and the Canada Pension Plan Investment Board.

Additional investigations target the $35.00-per-share acquisition of Distribution Solutions Group by affiliates of LKCM Headwater Investments, alongside the AtaiBeckley sale to Eli Lilly. The latter deal includes a $6.75 upfront cash payment supplemented by a Contingent Value Right worth up to $2.50, dependent on specific regulatory milestones for the BPL-003 and VLS-01 programs. Halper Sadeh aims to secure increased consideration or further disclosures for investors, citing concerns that current terms might stifle superior competing offers.
