The lawsuit, filed in the U.S. District Court for the District of New Hampshire, targets Planet Fitness and its senior executives for alleged violations of the Securities Exchange Act of 1934. According to the complaint, titled Matsunaga v. Planet Fitness, Inc., the company maintained a narrative of marketing success to shareholders while internally struggling with a shift in tone. The firm claimed to be leaning into its "we are all strong on this Planet" campaign, yet this pivot toward "fitness-minded" consumers reportedly backfired by alienating the casual demographic that defined the brand's "Judgement Free Zone" identity.
Financial fallout became apparent on May 7, 2026, when the company released its Q1 results. Planet Fitness cut its revenue growth guidance from 9% to 7% and slashed adjusted EBITDA expectations from 10% to 6%. During the subsequent earnings call, management admitted the marketing pivot may have been too aggressive, abandoning its approachable tone. The market reacted sharply, driving the stock price down from $63.96 to $44.01 in a single session. Bleichmar Fonti & Auld LLP, the firm representing the plaintiffs, has set a September 14, 2026, deadline for investors to petition for lead plaintiff status in the ongoing litigation.
