Old Republic Finalizes Acquisition of Everett Cash Mutual Insurance

Members of Everett Cash Mutual Insurance Co. voted this morning to convert the firm into a stock insurance company, clearing the path for its acquisition by Old Republic International. The deal marks a significant expansion for Old Republic into the specialized commercial agricultural insurance market.

Following the approval, Old Republic successfully completed a subscription offering for its common stock, raising approximately $25 million. Shares were priced at $25.80, a 35% discount compared to the $39.70 volume-weighted average recorded over the 10-day period ending June 29. The transition becomes official on July 1, 2026, once amended articles of incorporation are filed with the Pennsylvania Secretary of State. At that point, Old Republic will issue nearly 956,000 shares to finalize the purchase of the ECM Group.

Craig R. Smiddy, President and CEO of Old Republic, described the move as a strategic alignment of ECM’s agricultural underwriting expertise with his company's broader specialty insurance operations. Founded in 1923, Old Republic continues to focus on niche property, casualty, and title insurance markets across North America.
